Thank you for choosing Clickable Web Co for your website development and hosting needs. By using our services, you agree to the following terms. Please read them carefully.
All transactions between Clickable Web Co and the Client are governed by these terms unless a separate written agreement is in place.
Definitions
– “Fees”: Fees outlined in a formal quote or Statement of Work.
– “Functional Specification”: The agreed scope of services provided by Clickable.
– “Moral Rights”: Rights related to authorship and integrity under the Copyright Act 1968 (Cth).
– “Payment Schedule”: The invoicing schedule specified in the Statement of Work.
– “Proposal”: A document detailing the services Clickable will provide.
– “Services”: Services specified in a Statement of Work or similar document.
– “Terms and Conditions”: These terms as amended from time to time.
Fees
Fees must be confirmed in writing and are subject to periodic review. Clickable may change Fees with one month’s written notice. Invoices are issued according to the agreed Payment Schedule, typically quarterly, with payments due within 30 days.
Acceptance
By instructing Clickable for services, the Client accepts these terms.
Design Ownership
Custom designs belong to the Client upon full payment. Any revisions beyond the scope of the accepted Proposal will be charged separately. Branding assets must be supplied by the Client, although Clickable can provide royalty-free resources for a fee.
Content Management
Content population is done via the agreed Content Management System (CMS). The Client is responsible for the accuracy and legality of the website content. Clickable requires access to the site for SEO purposes.
Scope Changes
Quotes are based on the Client’s requirements and may change based on new instructions or findings. Additional services not included in the Proposal will require separate change orders.
Hosting and Security
Hosting charges start upon website creation. Clickable is not responsible for downtime or data loss due to external factors and will recommend any resource increases as needed.
Bug Fix Period
A 60-day bug fix period applies from the training or launch date. Further support can be arranged through a pre-paid plan.

Payment
Fees are exclusive of GST and guaranteed for 30 days from the Proposal date. Deposits are required before work begins, and inactive projects for 4+ weeks incur a maintenance fee.
Project Management
The Client and Clickable will develop a project schedule. Timelines depend on the Client’s cooperation and timely provision of required materials.
Training
Each project includes one hour of CMS training at Clickable’s office; additional off-site training incurs extra charges.
Confidentiality
Clickable will safeguard the Client’s confidential information and will not disclose it without prior consent. The Client must also protect Clickable’s confidential information.
Intellectual Property
Copyright for content created by Clickable remains with Clickable. The Client is granted a non-exclusive, revocable licence to use this content. The Client guarantees that provided materials do not infringe third-party rights.
Indemnity
The Client indemnifies Clickable against any loss or damage due to breaches or negligence.
General Provisions
Clickable may update these terms at any time. Both parties are not liable for events beyond their control.
